Sean Corwen

Sean Corwen, a Director out of New York at SierraConstellation Partners, has a decade of experience as a turnaround professional in both advisory and operational roles. He works closely with clients to enhance liquidity, analyze business trends and rationalize costs to improve value for all stakeholders. Sean has significant experience implementing operational turnarounds, asset sales, recapitalizations, refinancings and balance sheet restructurings. He has advised clients across a variety of industries, including consumer goods, energy, financial services, healthcare, media, and professional services. His experience includes both company-side roles as well as creditor advisory.

Prior to joining SierraConstellation Partners, Sean held a variety of roles in start-up ventures, restructuring investment banking and investment management.

Sean holds an AB in Classics from the College of the Holy Cross and earned his MBA from the McDonough School of Business at Georgetown University. He previously held FINRA licenses Series 63 and Series 79.

Notable Assignments

  • Financial advisor to omnichannel home textile merchandiser with c. $40 million of funded debt. Analyzed working capital trends, channel economics and gross margin sensitivity; presented recommendations to client, term loan lender and sponsor to improve liquidity. Led efforts to refinance company’s $10 million ABL facility.
  • Financial advisor to Montessori school operator and educational technology company with c. $225 million of secured debt. Worked closely with other advisors, secured lender and other stakeholders to implement in-court restructuring with a recovery to unsecured creditors.
  • Financial advisor to clinical-stage pharmaceutical company with $200 million of funded debt. Supported finance and accounting team with liquidity management, budget forecasts and other analyses during pre-petition sales process. Provided testimony with respect to plan feasibility during chapter 11 confirmation hearing.
  • Chief restructuring officer (“CRO”) support for a US based e-commerce & wholesale consumer products company. Assisted in negotiation of ~$90 million of accounts payable to support an out-of-court restructuring.
  • Financial advisor to Southern California-based medical practice in connection to a >$30 million refinancing. Provided finance & accounting support and spearheaded marketing process with debt capital providers.
  • CRO support for multinational consumer services business. Created four-wall profitability analysis and other analyses to advance marketing process. Provided support during liquidation process, including preparation of schedules/statements and other statutory reporting.
  • Financial advisor to pharmaceutical company in its dual-track 363 sale of pre-clinical and commercial assets. Prepared schedules/statements, monthly operating reports, liquidation and other analyses filed with the court. Worked closely with management to optimize liquidity and monitor disbursements to vendors.
  • CRO support for retail company and its successful sale and separation of retail and direct-to-consumer operations via chapter 11 plan of reorganization.
  • Investment banker to consumer products company with >$450 million of pre-petition funded debt and multi-national operations. Prepared valuation analyses for disclosure statement and worked with senior bankers to prepare court declarations and negotiated with other creditors to ensure successful debt-for-equity swap in line with restructuring support agreement.
  • Chief restructuring officer (“CRO”) support for a US based e-commerce & wholesale consumer products company. Assisted in negotiation of ~$90 million of accounts payable to support an out-of-court restructuring.
