Chad Wenger

Chad Wenger is an Associate out of New York at SierraConstellation Partners with four years of experience in investment banking. He has worked with middle-market companies and institutional investors across several industries, with a focus on Energy and Industrials.

Prior to joining SierraConstellation Partners, Chad began his career at Truist Securities, where he worked across Private Capital Markets and Equity Capital Markets. Within Private Capital Markets, Chad supported the execution of minority equity, debt, and structured capital raises for middle-market companies. In his role, he supported financial modeling, due diligence, market research, and deal process support while working closely with management teams to structure and close private capital transactions. Chad also supported origination and transaction execution of IPOs and follow-on offerings within Equity Capital Markets.

Chad received a B.S. in Accounting from the Smeal College of Business at Pennsylvania State University. Additionally, he holds the FINRA Series 7, Series 63, and Series 79 licenses.

  • Financial Advisor support to a family-owned paper & packaging company that converts and sells folding cartons to blue chip enterprises in the food, beverage, and confectionary end-markets. Assisted company in building historical and forecasted operating model and creating marketing materials for a structured equity raise to fund growth capex and pay down outstanding legacy debt balances. Developed pre- and post- transaction cap table and capital structure analysis to determine ideal transaction structure. Supported diligence, outreach, engagement in auction process to 35+ private credit shops, mezz funds, and family offices to help close $40MM+ debt & preferred equity raise.
  • Financial Advisor support to U.S. Aerospace & Defense company. Assisted in developing forecasted revenue and expense builds for multiple business segments for Company’s debt raise of $150MM of senior secured notes and Delayed Draw Term Loan. Identified 40+ family office and private credit firms to outreach in the sale process. Collaborated with management to create CIM and teaser. Assisted in organizing and tracking virtual data room.
  • Financial Advisor support to U.S. based Solar Module & Cell manufacturer looking to raise minority equity to support the development of manufacturing facility. Built 3-statement model and worked with management to track and facilitate diligence processes. Developed cap table and pre-money valuation analysis to assist identifying preferred transaction price in $300MM minority equity raise.
