Sam Khazary

Sam Khazary, a Senior Director at SierraConstellation Partners, brings 20 years of expertise in leading strategic initiatives to enhance enterprise value. Over the course of his career, Sam has led, advised, and participated in several significant business transformations, restructurings, and capital markets transactions.

Prior to joining SCP, Sam was an Executive Vice President and public company Officer at Selina Hospitality PLC, a global lifestyle brand with over 100 properties in 24 countries. During his tenure at Selina, Sam spearheaded the company’s transition to a NASDAQ-listed public company with a $1.2B listing valuation, executed hundreds of millions in equity, debt, and real estate transactions, and led a critical recapitalization and operational turnaround. Additionally, he oversaw investor and public relations, managed communication strategies, investor relationships, earnings calls, SEC filings, and public perception through media relations.

Before Selina, Sam served as the Managing Director of Investments and Capital Markets for North America at Fosun International Limited, one of the largest privately held multinational investment conglomerates in China, where he was responsible for all facets of commercial real estate and hospitality strategy, investments, and capital markets for the region.

Previously, Sam was a Senior Director in FTI Consulting’s Corporate Finance & Restructuring segment and its investment banking subsidiary, FTI Capital Advisors, where he guided complex financial restructurings and transactions.

Sam’s career further includes roles at RCS Capital/Cole Capital, executing over $20 billion in capital markets and real estate transactions via public and private non-traded REITs. He began his career at Morgan Stanley, where he developed both strategic and tactical asset allocation models and directly managed billions of dollars on behalf of a diverse private wealth management and institutional clientele.

Sam holds a Bachelor of Science in Finance from the Tobin School of Business at St. John’s University, is an alumnus of Bronx High School of Science, and holds a Certified Investment Management Analyst® designation from the Wharton School of the University of Pennsylvania. He also holds Financial Industry Regulatory Authority (FINRA) Series 7, 63, and 79 security and investment banking licenses.

  • SCP is financial advisor to a $200M+ performance marketing agency, assisting in strategic business transformation initiatives. SCP is leading the assessment and execution of a potential business separation, evaluating cost savings opportunities, and developing an execution plan for medium-term investment exit strategies. Additionally, SCP is supporting stakeholder engagement, financial modeling, and communications with the Board and lenders to align operational improvements with long-term value creation.
  • SCP was financial advisor to a specialty retailer, leading the identification and engagement of potential buyers and overseeing the sale process. Conducted detailed analyses of strategic alternatives, assessed financial and operational challenges, and presented findings to management, lenders, and key stakeholders.
  • SCP was financial advisor to a $500M+ consumer packaged goods company, assessing its strategic turnaround and operational plan. Analyzed plant operations, workforce reductions, automation, and corporate restructuring. Reviewed financial projections, liquidity, and covenant risks. Identified key operational and financial risks, delivering recommendations on cost savings, liquidity, and risk management.
  • Executive Vice President and public company Officer of a global hospitality brand, leading its $1.2B NASDAQ listing via SPAC, executing a restructuring and recapitalization, and driving an operational turnaround. Spearheaded $300M+ in equity, debt, and real estate transactions and restructured $200M in liabilities across 24 countries to optimize the balance sheet. Oversaw investor relations, SEC filings, and media strategy, reporting to the Board and CEO as an Executive and Investment Committee member.
  • Managed the North American balance sheet, capital markets, and investment activities for a multinational investment firm with over $100B in AUM, leading real estate, hospitality, and retail investment strategies.
  • Advised the creditor committee in a $12B retail Chapter 11 bankruptcy, overseeing negotiations, valuations, and lease rejections for a portfolio of 1,200+ properties, and preparing expert testimony for real estate litigation.
  • Financial advisor to the court-appointed receiver in the wind-down of a $1.5B private equity firm with a diversified investment portfolio. Marketed and oversaw asset sales totaling $300M while providing operational support to the receiver and various operating entities.
  • Financial advisor in a $55M restructuring and Section 363 sale of a leading media and entertainment company, managing the formal sale process and asset disposition strategy.
  • Led strategic advisory services for sell-side and buy-side M&A engagements, overseeing the execution of transactions exceeding $30 billion in value. Directed roll-up strategies, public markets execution, and listings, primarily in real estate, financial services, and REITs, encompassing both equity and debt transactions. Developed advanced financial models and analyses to optimize value creation in IPOs, carve-outs, spin-offs, and other complex financial transactions.
